Just rename files in your cpshop.cgi folder.  Every occurrence of "cgi" needs to be replaced with "pl".

Examples:

cpshop.cgi -> cpshop.pl
cpshop.cgi.config -> cpshop.pl.config
cpshop.cgi.images ->cpshop.pl.images

That's pretty much it.

Do you have any error logs that might document the problem?

Idea:

I'm guessing your server is running IIS (Windows-based).  If that's the case, find out the absolute path to your cpshop directory (it's usually something like D:/Websites/full/path/here/cgi-bin/cpshop/, and is usually different for every webhost), and fill in the $script_dir variables at the top of your cpshop.cgi and cpadmin.cgi files with that path.  Then try loading the script again.
